Please read this Agreement before using the Site and/or retaining our translation services.
Mondzo provides translation services for various documents in English, French and Spanish, as well as editing and writing services in these same languages (collectively, the "Services"). Mondzo will use reasonable efforts, but cannot guarantee that the Services offered on the Site are available at all times. The availability of the Services may vary due to demand, for example. Mondzo reserves the right to refuse any request for Services, in which case the Site will be unavailable and no Purchase (defined below) may be made on the Site.
The Agreement comes into force when Mondzo accepts the Customer's order by sending an Order Confirmation (defined below) (the "Purchase"). If Mondzo does not accept an order and the funds have already been deducted from the Customer's account, the funds will be fully refunded to the same credit card used to make the payment and it may take 7 to 10 business days.
To place an order, the Customer must follow the online purchasing process, which includes submitting the documents for which the services are requested or entering the text for which the services are requested, choosing the language(s) into which the document(s) are to be translated, choosing the source language and choosing the delivery date and time from among the choices offered, each combination of delivery date and time being offered at a different price. Then, the Customer must enter his first name, surname, email address, telephone number, choose a password, confirm this password and finally enter his credit card information, and click on the "Authorize Payment" button to place the order. Please note that this does not mean acceptance of an order. All orders are subject to acceptance by Mondzo. After placing an order, the Customer will receive an email from Mondzo confirming acceptance (the "Order Confirmation"). Once Mondzo sends the Order Confirmation accepting the order, the Purchase is completed.
2. Prices and payment terms
The prices of the Services are as indicated on the Site and as confirmed in the Order Confirmation. All prices on the Site are in Canadian dollars. The price is payable at the time of purchase. Payment is made by credit card.
By clicking on the "Authorize Payment" button, the Customer confirms that the credit card submitted belongs to him or that he is an authorized user of this credit card if it belongs to a company. Credit cards are subject to validation checks and authorization by the card issuer. The delivery time will start when the required authorization has been received by Mondzo.
Mondzo retains the services of Stripe, an industry leader in online payments for credit card payment processing. Mondzo does not store any credit card data provided by Customers during the Purchase. In order to reduce the risk of unauthorized access, the credit card details submitted will be encrypted.
3. Supplementary Agreement
In the event that the Customer wishes to obtain additional Services to the Services covered by the Agreement, such additional Services shall be the subject of a separate contract to the Agreement. To this end, the Client must communicate by email with Mondzo at the following address: [email protected].
4. Turnaround time
The time limits for the provision of the Services will depend on the option chosen by the Customer when placing his order on the Site, and will be confirmed in the Order Confirmation. Mondzo offers "Regular," "Rush" and "Ultra" processing times. Some processing times may not be available for some requests. It is possible to request processing times that are different from the processing times offered by our automated application processing tool. To this end, the Client must contact [email protected] as indicated on the order page.
5. Ownership of documents and confidentiality
The Client affirms that he has the right to provide all documents provided in connection with the Services and that their use by Mondzo, at the Client's request, complies with and will not infringe any law or any intellectual property or other third party rights.
6. Cancellation and refunds
If the Client terminates the Agreement after the Purchase, the Client is responsible for paying all costs incurred, all management fees, all file opening fees, all technological fees, all fees for work already performed by Mondzo since the Purchase, in accordance with applicable law. For greater clarity, no refund will be made once all the Services covered by the Purchase have been rendered to the Customer. In the event that Mondzo is required to refund a portion of the amount paid in connection with a Purchase due to a termination of the Agreement by the Customer, before all Services have been rendered to the Customer, Mondzo will promptly notify the Customer by email of all charges incurred by Mondzo up to the time of the termination request and the total amount to be refunded on the credit card used to make the Purchase, and exclusively on that credit card. The processing time for a refund may take up to 10 business days from the day after the request for termination. The request for termination must be made in writing, by email, to [email protected] and clearly mention the order(s) to be cancelled. Under no circumstances may the termination request be made by telephone or by any means other than email; moreover, this email must absolutely come from the email account used to create the Client's Mondzo account.
Any comments or complaints regarding the accuracy of a translation, revision or drafting or the quality of a Service provided under this Agreement must be reported in writing to Mondzo by the Customer within fifteen (15) days of delivery of the Services, in writing, by email, from the email account used by the Customer to create the Customer's Mondzo account. No other means of communication (including, but not limited to, telephone or regular mail) will be accepted for the communication of comments or complaints.
8. Use of the Site
The Site may only be used by persons who have reached the age of majority or legal age in their jurisdiction of residence and who may enter into binding contracts under applicable laws. The Site may not be used by persons in jurisdictions where access to or use of the Site or any part thereof may be illegal or prohibited. It is the sole responsibility of the Customer to determine whether its use of the Site is lawful and to comply with all applicable laws.
9. Force majeure
To the extent permitted by applicable law, Mondzo shall not be liable if the performance of an obligation under the Agreement becomes impossible or commercially unreasonable due to any cause or event beyond its control including, without limitation, force majeure (as defined in article 1470 of the Civil Code of Québec), acts of God, acts of any governmental authority, acts of the Client, acts of terrorism, wars, civil unrest, labour disruptions or strikes, fires, explosions, etc.
10. Intellectual property rights
The Site, including its content, text, graphics, scripts, presentation and other information contained in the text, graphics, audio and video tapes, software, designs, applications, data and other materials available on or through the Site, with the exception of the Translated Document, (the "Content"), including the manner in which the Content is presented or displayed, is and remains the property of Mondzo and is protected by copyright and trademark laws and other laws relating to ownership. The use of the Site does not confer on the Client any ownership or other rights with respect to the Site or its Content.
11. Permitted use
The Site is made available to the Customer for its lawful use only. In particular, unless otherwise expressly provided in this Agreement, the Customer agrees, as a condition of its use of the Site, not to use the Site for any purpose that is unlawful under applicable laws or prohibited by this Agreement; not to copy, imitate, reproduce, republish, upload, download, post, transmit, modify, index, catalogue, reverse engineer, decompile, license, sublicence, display, revise, perform, transfer or distribute the Site or the Content, in whole or in part (including software used for the operation of the Site), without prior written consent.
12. Applicable law
The Agreement, access and use of the Site by the Customer and all related matters are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any dispute between the Client and Mondzo or any other person, attributable to or related to the Site, the Agreement or any related matter must be submitted to the courts of Quebec.
If any provision of the Agreement is found to be invalid or unenforceable for any reason, it shall be deemed severable from all others, and the remaining provisions shall continue to be fully valid and enforceable.
This Agreement applies for the benefit of and is binding on Mondzo, its successors, assigns and related persons, as well as the Client and its heirs, executors, curators, successors, permitted assigns and representatives. The Client may not assign the rights and obligations conferred by the Agreement. Mondzo may assign the Agreement and its rights and obligations under it without the consent of the Client.
